Fresh Slates — Terms of Service (TOS)

Effective Date: July 8, 2025

These Terms of Service (“TOS”) govern your use of Fresh Slates’ website design and maintenance services. By hiring Fresh Slates, you agree to these terms.

1. Services Provided

Fresh Slates offers website design, development, and ongoing maintenance services. We may use subcontractors to help complete your project.

2. Payment Terms

• A 50% non-refundable deposit is required before work begins (see your individual Website Services Agreement for exact amounts).
  
  

• Final payment is due before the website goes live.
  
  

• Ongoing monthly maintenance fees of $100 cover hosting, domain management, security, and updates.
  
  

• If monthly payments are more than 7 days late, Fresh Slates may suspend or lock the website and charge a $15 reactivation fee.
  
  

3. Refund Policy

All payments are final and non-refundable. No refunds will be issued for cancellations, delays, or dissatisfaction once work has started.

4. Revisions

Your package includes up to 2 free rounds of revisions. Additional revisions are billed at $50.00] per round.

5. Client Responsibilities

• Provide all necessary content, images, and information within 5 days of deposit.
  
  

• Respond to drafts and communications within 48 hours.
  
  

• Make payments on time.
  
  

6. Subcontracting

Subcontracting is permitted. Fresh Slates may use third parties to complete all or part of the services at its discretion.

7. Intellectual Property & Ownership

• Ownership of the website transfers to the Client only after full payment of the project and any ongoing fees.
  
  

• Until then, Fresh Slates retains all rights, title, and interest in the website and its content.
  
  

8. Warranty Disclaimer

Services are provided “as is” and “as available.” Fresh Slates disclaims all warranties, express or implied, except those expressly stated in the individual Website Services Agreement.

9. Limitation of Liability

Fresh Slates is not responsible for:

• Third-party service issues (e.g., hosting downtime)
  
  

• Delays caused by the Client
  
  

• Losses from business interruptions
  
  

• Damages exceeding the total amount paid under the Website Services Agreement
  
  

10. Force Majeure

Neither party is liable for delays or failures due to causes beyond its reasonable control, including natural disasters, acts of government, Internet outages, or supplier failures.

11. Dispute Resolution & Fees

Any dispute arising under these TOS or the Website Services Agreement shall be resolved in small-claims court in Butler county, Ohio. The prevailing party is entitled to recover reasonable attorney’s fees and costs.

12. Governing Law & Venue

These TOS and any related agreement are governed by the laws of the State of Ohio. Any action must be brought in the courts of Butler County, Ohio.

13. Severability

If any provision of these TOS is held invalid or unenforceable, the remainder of the TOS will remain in full force and effect.

14. Amendments

Fresh Slates may update these TOS at any time by posting a revised version at freshslates.com/terms. Continued use of services after notice of changes constitutes acceptance of the new terms.

15. Assignment

Client may not assign or transfer any rights or obligations under these TOS without Fresh Slates’ prior written consent.

16. Entire Agreement

These TOS, together with the individual Website Services Agreement, constitute the entire agreement between you and Fresh Slates regarding your project and supersede all prior discussions or agreements.
